1440 Trade Network

SUBCONTRACTOR TERMS OF USE

Effective: September 20, 2026  ·  Version 1.1

These Terms of Use govern participation in the 1440 Trade Network as a Subcontractor, including insurance, licensing, and the Net 14 payment terms for payments made to Subcontractors.

1. INDEPENDENT SUBCONTRACTORS

Subcontractors participating in the 1440 Trade Network are independent businesses. Nothing in these Terms of Use creates an employment, agency, or partnership relationship between the Subcontractor and 1440 Trade Network or Ascentra Construction LLC.

Unless specifically stated otherwise in writing, a Subcontractor receiving assignments through the 1440 Trade Network is solely responsible for their own personnel, tools, equipment, transportation, workmanship, scheduling, taxes, and compliance with all applicable laws and regulations.

2. INSURANCE

Subcontractors are independent businesses and are responsible for maintaining all insurance required for the work they perform, including any applicable general liability, workers' compensation, commercial auto, or other coverage required by law or by 1440 Trade Network.

1440 Trade Network may request proof of insurance at any time.

Subcontractors agree to carry and maintain insurance sufficient for the scope, nature, and risk of each assignment they accept.

3. LICENSING

Subcontractors are solely responsible for maintaining all licenses, registrations, certifications, permits, or other credentials required to legally perform the services they accept.

Subcontractors must only accept and perform work they are legally qualified and authorized to perform.

Assignments may be modified, reassigned, or withdrawn when a Subcontractor cannot demonstrate the credentials legally required for the work involved.

SUBCONTRACTOR PAYMENT TERMS: NET 14

Subcontractors must acknowledge and agree that payments owed to the Subcontractor for completed and properly invoiced work are subject to Net 14 payment terms.

This means 1440 Trade Network will pay the Subcontractor according to Net 14 terms, with payment due to the Subcontractor within 14 days after receipt and acceptance of a complete and valid invoice, subject to the applicable Subcontractor Terms of Use and any requirements for completion documentation.

For a specific job, the Subcontractor's payment terms automatically match the end customer's payment terms whenever those terms exceed Net 14 (for example, Net 30, Net 45, or Net 60). The applicable payment terms are shown on the work order before the Subcontractor accepts the job and again when submitting the invoice, and are retained on the invoice record.

IMPORTANT: The applicable payment terms refer to payment TO the Subcontractor. They do NOT mean the Subcontractor owes payment to 1440 Trade Network within that period.

The Subcontractor must affirmatively accept these payment terms as part of registration before becoming eligible to receive assignments.

4. ASSIGNMENTS AND QUOTES

1440 Trade Network coordinates assignments, quotes, and service requests between Service Clients and Subcontractors. A submitted quote is not binding on 1440 Trade Network or the Service Client until accepted through the platform and, where applicable, converted into a service request.

Subcontractors agree to submit accurate quotes through the 1440 Trade Network application and to complete accepted assignments in a professional and workmanlike manner.

1440 Trade Network is not obligated to assign any minimum volume of work to any Subcontractor.

5. INVOICING AND COMPLETION DOCUMENTATION

To start the payment terms clock, the Subcontractor must submit a complete and valid invoice through the 1440 Trade Network application, together with any required completion documentation (such as work performed, materials used, photos, and recommended follow-up), for the applicable assignment.

Invoices that are incomplete, inaccurate, or missing required documentation may be returned for correction; payment terms are measured from receipt and acceptance of a complete and valid invoice.

6. ELECTRONIC ACCEPTANCE

By checking the acknowledgment box during registration, the Subcontractor affirms that they have read, understood, and agree to these Subcontractor Terms of Use.

The electronic acceptance record — including the provider name, company name, email, date and time accepted, and the version of these Terms of Use — is retained by 1440 Trade Network as evidence of acceptance.

7. CHANGES TO TERMS

1440 Trade Network may update these Subcontractor Terms of Use from time to time. Each version has an identifiable version number and effective date.

If material changes require renewed acceptance, the application will require the Subcontractor to review and accept the updated Terms of Use before receiving additional assignments.

8. GOVERNING LAW

These Subcontractor Terms of Use will be governed by the laws of the State of Florida, without regard to conflict-of-law principles.
