These Terms & Conditions govern the use of 1440 Trade Network and requests for repair, maintenance, installation, diagnostic, and related facility services made through the platform.
1440 Trade Network is a DBA of Ascentra Construction LLC ("1440").
1440 provides a platform and service network that helps customers request, coordinate, and obtain repair, maintenance, diagnostic, installation, and other facility-related services from independent subcontractors.
Depending on the circumstances and scope of a particular project, services may also be separately performed or contracted directly by Ascentra Construction LLC where legally permitted and specifically identified as such.
Service providers participating in the 1440 Trade Network are independent businesses.
Unless specifically stated otherwise in writing, a subcontractor dispatched through the 1440 Trade Network is not an employee of 1440 Trade Network or Ascentra Construction LLC.
Independent subcontractors are responsible for their own employees, personnel, tools, equipment, transportation, insurance, licenses, certifications, permits, workmanship, and compliance with applicable laws and regulations.
Use of the 1440 Trade Network does not create an employer-employee relationship between 1440 and an independent subcontractor.
Customers may use the platform to submit requests for repair, maintenance, diagnostic, installation, and related services.
Submitting a service request authorizes 1440 to coordinate the request and, when appropriate, provide the information necessary to an independent subcontractor so the request can be evaluated and serviced.
Submission of a request does not guarantee that a provider will be available or that requested work can be completed.
A service request may include a Not-to-Exceed ("NTE") authorization.
When an NTE is presented to the customer, it represents the maximum customer-authorized amount for the applicable service request without obtaining additional approval.
The applicable NTE may include costs associated with the service call, including diagnostic/trip charges, labor, materials, and repairs performed within the authorized scope.
If additional work is required that would cause the customer-authorized amount to be exceeded, additional authorization must be requested before that additional work proceeds, except where immediate action is reasonably necessary to protect persons or property and is otherwise permitted by law.
An NTE is not a guarantee that the full authorized amount will be charged.
If the subcontractor determines that additional work, materials, equipment, specialized services, or another visit is required beyond the existing authorization, an approval request may be submitted through 1440.
The customer is responsible for reviewing and approving or declining additional authorization requests.
Work requiring additional authorization should not proceed until the required approval has been received, subject to emergency circumstances and applicable law.
The customer agrees to:
Customers are responsible for charges they authorize through the 1440 Trade Network, including approved service requests and approved additional work.
Customer pricing presented through 1440 may include service coordination, administrative, network, or other charges associated with providing the service.
1440 is not required to disclose its internal arrangements, provider compensation, provider NTE limits, margins, or markup calculations unless disclosure is required by applicable law.
Invoices are payable according to the payment terms shown on the customer's account, service authorization, invoice, or applicable written agreement.
Customers should cancel service requests as soon as reasonably possible when service is no longer required.
Charges may apply when a provider has already been dispatched, is en route, has arrived at the property, has incurred expenses, or has otherwise performed work associated with the request.
If a provider cannot access the property or equipment because of circumstances outside the provider's or 1440's control, applicable trip, diagnostic, mobilization, or other authorized charges may still apply.
An Emergency designation communicates the urgency of a request but does not guarantee a particular response or arrival time.
Customers remain responsible for contacting emergency services, utilities, fire departments, law enforcement, or other appropriate authorities when circumstances involve immediate threats to life, safety, or property that require those services.
Certain types of work may require licenses, permits, inspections, or other regulatory requirements.
1440 and participating subcontractors will not knowingly authorize an individual to perform regulated work for which that individual or business is legally required to hold a license or authorization that they do not possess.
The scope of work may be modified, declined, reassigned, or referred to an appropriately qualified provider when necessary.
Independent subcontractors are responsible for the work they perform.
1440 may assist customers and providers with communication, documentation, dispatch, approvals, and resolution of service-related concerns.
However, participation in the 1440 Trade Network does not convert an independent subcontractor into an employee of 1440 or Ascentra Construction LLC.
Customers authorize reasonable documentation of service requests, including photographs, service notes, estimates, invoices, arrival/completion records, and other documentation reasonably necessary to coordinate and document the service.
Such documentation may be retained as part of the service-request record.
By creating an account and submitting service requests, the customer agrees to receive transactional communications related to their account and service requests.
These communications may include email notifications concerning request submission, dispatch, scheduling, provider status, approvals, service completion, cancellations, invoices, and other service-related activity.
To the maximum extent permitted by applicable law, 1440 Trade Network and Ascentra Construction LLC will not be responsible for indirect, incidental, special, exemplary, or consequential damages arising solely from the use of the 1440 platform or the acts or omissions of an independent subcontractor.
Nothing in these Terms & Conditions is intended to waive rights or responsibilities that cannot legally be waived under applicable law.
Customers are responsible for maintaining accurate account, contact, billing, and property information and for maintaining the security of their account credentials.
The customer agrees that electronic actions taken through the 1440 Trade Network may be used to document service requests, approvals, authorizations, acknowledgements, and other transactions.
Electronic records may be retained as evidence of those actions.
1440 may update these Terms & Conditions from time to time.
Each version must have an identifiable effective date or version number.
If material changes require renewed customer acceptance, the application should require the customer to review and accept the updated Terms & Conditions before submitting additional service requests.
These Terms & Conditions will be governed by the laws of the State of Florida, without regard to conflict-of-law principles.
These Terms & Conditions, together with applicable service authorizations, invoices, account terms, and any separate written agreement between the parties, constitute the applicable agreement concerning use of the 1440 Trade Network.
If a separately executed written agreement expressly conflicts with these Terms & Conditions, the separately executed written agreement controls to the extent of that conflict.
